Microsoft in response to the cold shoulder by Yahoo may use a proxy battle to oust the directors. A proxy vote could replace the directors with supporting members who would usher the deal through. Because of fluxuating stock prices the offer by Microsoft to buy Yahoo has fallen from $44.6 billion to $41.9 billion. Microsoft is expected to increase their offer if needed. Yahoo don’t be dumb. Take the deal.
